- Public Display: You acknowledge and agree that we may publicly display your content on our website, social media, and other platforms for promotional or marketing purposes.
- Content Responsibility: You are solely responsible for the legality, accuracy, and appropriateness of the content you provide. You agree to indemnify Digi Era Pro LLC against any claims, losses, or liabilities arising from your content.
5. Payment Terms
- Payment Methods: Payments for services are required upfront unless otherwise agreed in writing. We accept payments via credit card, bank transfer, or other methods as indicated.
- Billing Cycle: For recurring services (e.g., monthly SEO or digital advertising campaigns), the billing cycle will begin upon the start of the contract and will continue every month until cancelled by either party with 30 days written notice.
- Late Payments: If you fail to make a payment on time, we may suspend or terminate the services until payment is made. A late fee may be applied to overdue amounts.
6. Refund Policy
- Non-Refundable Payments: All payments for services provided by Digi Era Pro LLC are non-refundable. This includes payments for both month-to-month services (such as SEO, digital advertising, and other recurring services) as well as project-based services (such as website development and design). Once payment is made, no refunds will be issued for any reason.
- Reason for Non-Refundable Policy: Due to the nature of our services, once work has begun, resources and efforts are dedicated to your project. Services such as digital marketing campaigns, website development, and SEO optimization require continuous effort, and the costs associated with these services are incurred upfront.
- No Refunds for Cancellations: If you choose to cancel or terminate our services, you will not be entitled to any refunds for the payments made, even if the service has not been fully completed or used.
- Service Modifications: While we do not offer refunds, we are committed to delivering high-quality services. If you are dissatisfied with the work, we will work with you to modify or improve the service, subject to the terms of the contract.
- Chargebacks: If you initiate a chargeback or dispute any payment made to Digi Era Pro LLC, we reserve the right to suspend your access to services and take legal action if necessary.
7. Termination
- Your Right to Terminate: You may terminate any agreement with us at any time by providing 30 days written notice. You will be billed for services rendered up to the termination date.
- Our Right to Terminate: We reserve the right to suspend or terminate your access to services if you violate these Terms, fail to make payments, or engage in behaviour detrimental to our operations. In such cases, no refund will be issued for the unused portion of the service.
- Effect of Termination: Upon termination, you will no longer have access to the services or any content we created for you unless otherwise agreed.
8. Confidentiality
We will maintain the confidentiality of all sensitive business information shared with us. We will not disclose such information to third parties without your written consent, except where required by law. However, we may share aggregated, non-personally identifiable data for business purposes.
9. Intellectual Property
- Ownership of Deliverables: Upon full payment for services rendered, you will own the final deliverables (such as websites, graphics, and content created by us) unless otherwise stated in writing.
- Licensing of Tools and Platforms: We retain ownership of any proprietary tools, technologies, or platforms used to deliver our services, including any templates, software, or frameworks created for use in delivering our services.
10. Limitation of Liability
Digi Era Pro LLC is not liable for any indirect, incidental, special, or consequential damages, including loss of profits, arising out of the use of our services. Our total liability for any claims arising from our services will not exceed the amount paid by you for the services in question.
11. Indemnification
You agree to indemnify, defend, and hold harmless Digi Era Pro LLC and its affiliates from any claims, liabilities, losses, or damages arising from your violation of these Terms, infringement of intellectual property rights, or any unlawful use of our services.
12. Force Majeure
We are not responsible for delays or failure to perform any obligations due to circumstances beyond our control, including natural disasters, strikes, government actions, or other events that prevent or delay service performance.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising out of these Terms or your use of our services will be resolved in the courts of the United States, where Digi Era Pro LLC is based.
